The Clarington Board of Trade will be holding its Annual General Meeting on April 18, 2024. This message will serve as the written notice for a call for nominations to members as prescribed by the Board’s By-Laws (2018) and references the relevant by-law sections as noted below:
Annual General Meetings- The Board shall call an annual meeting no later than fifteen months after the last preceding annual meeting for the purpose of fulfilling the requirements of the Act, including:
1. Considering the financial statements and reports of the Corporation required by the Act to be presented at the meeting:
2. Electing directors; and
3. Appointing the auditor
The purpose of this notice is to call for nominations to fill three (3) vacancies open for our board of directors.
Qualifications – The following persons are disqualified from being a director of the Corporation:
1. anyone who is less than 18 years of age;
2. anyone who has been found under the Substitute Decisions Act, 1992 or under the Mental Health Act to be incapable of managing property:
3. anyone who has been found to be incapable by any court in Canada or elsewhere;
4. anyone who is not an individual;
5. anyone who has the status of bankrupt; and
6. anyone who is not an Active Member or the designated representation of an Active Member.
Election and Term – The Members shall elect by ordinary resolution, at each annual meeting at which an election of directors is required, directors to hold office for one (1) term (3 years) expiring not later than the close of the third (3rd) annual meeting of Members following the election. If directors are not elected at a meeting of Members, the incumbent directors continue in office until their successors are elected. A director may be elected for a second term and, upon the expiration of such second term, shall not be eligible for re-election until one year has elapsed since the date of retirement as a director of the Corporation.
All members that meet the qualifications noted above and are interested in joining a dynamic board of directors leading the Clarington businesses and community to successful prosperity for years to come. Clarington is in an amazing position for growth and we are proud to have our business development efforts led by business leaders.
Expectations of a Director of the Board for the Clarington Board of Trade:
1. Regular attendance at scheduled Board of Directors meeting. The Board meets bi-monthly for a total of six (6) meetings.
2. To serve on one subcommittee of the Board (monthly meetings)
3. Active participation & engagement throughout the year at CBOT events is encouraged.
To complement the Board’s current membership, priority will be given but not limited to individuals with expertise and skills in organizational culture, change management and strategy development.

In the event that there are more candidates nominated than Directors to be elected, an election will be held at the Annual General Meeting. Candidates will be asked to provide written bio’s and a brief outline of what skills they bring to the board, to be distributed prior to AGM by CBOT to the attendees and election by confidential ballot will follow.
